Terms of Service

1. Agreement to terms

These Terms of Service (the "Terms") form a binding agreement between you and Clientra, Inc. ("Clientra", "we", "us") and govern your access to and use of the Clientra website, applications, APIs, and services (collectively, the "Service").

By creating an account or using the Service you confirm that you are at least 18 years old and have the authority to bind your organization to these Terms.

2. Accounts and workspaces

You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at security@clientra.com of any unauthorized use.

Workspace owners may invite teammates and assign roles. Owners are responsible for the actions of users they add to their workspace.

3. Acceptable use

You agree not to (a) reverse engineer or attempt to extract the source code of the Service; (b) use the Service to send unsolicited communications, malware, or unlawful content; (c) interfere with or disrupt the integrity or performance of the Service; (d) attempt to gain unauthorized access to any part of the Service or its related systems.

We may suspend or terminate access for violations, with or without notice, where required to protect the Service or other customers.

4. Subscriptions, billing, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns, billing, tax compliance, and invoicing. By purchasing a subscription you also agree to Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms).

Paid plans are billed in advance on a monthly or annual basis and renew automatically until canceled. You may cancel at any time from your in-app billing settings; cancellation takes effect at the end of the current billing period.

We may change pricing with at least 30 days' notice. Changes take effect at the start of your next billing cycle.

5. Your content and data

You retain all ownership of the content you upload, create, or generate within the Service ("Your Content"). You grant Clientra a worldwide, royalty-free license to host, process, transmit, and display Your Content solely as necessary to provide the Service to you.

You are responsible for ensuring you have all rights and permissions needed for Your Content and that it complies with applicable laws.

6. AI features

The Service includes AI-assisted features (drafting, summarization, classification). AI output may be inaccurate or incomplete; you are responsible for reviewing it before use. Your prompts and outputs are not used to train third-party foundation models without your consent.

7. Intellectual property

Clientra and its licensors own all right, title, and interest in the Service, including all software, designs, trademarks, and documentation. No rights are granted to you other than the limited right to use the Service per these Terms.

8. Disclaimers

The Service is provided "as is" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Clientra disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, Clientra's total liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts paid by you to Clientra in the 12 months preceding the claim, or (b) US $100.

In no event will Clientra be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

10. Termination

You may terminate your account at any time. We may terminate or suspend your access for material breach, non-payment, or where required by law. Upon termination your right to use the Service ceases; provisions that by their nature should survive termination will do so.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The exclusive venue for any dispute is the state and federal courts located in San Francisco County, California.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be announced via in-app notice or email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
